Overview
The International Finance Corporation (IFC) is seeking an Extended Term Consultant (ETC) with a corporate legal background to assist in the implementation and process automation of IFC’s Directorship Policies and Practices, and provide support in managing conflicts of interest and developing mitigation plans for directorships.
Tasks Summary
- Providing support with the review and approval of director nominations, observer and advisory committee member appointment memos.
- Providing case-specific guidance to investment teams on compliance with internal policies.
- Identifying jurisdiction specific limitation related to board appointments and the exercise of fiduciary duties.
- Conducting conflicts of interest analysis for nominees and drafting conflict of interest mitigation plans.
- Developing guidelines to facilitate the identification and mitigation of conflicts of interest.
- Monitoring and reporting on policy waivers and exceptions.
- Monitoring and reporting on directorship management data gaps.
- Identify IT Directorship system updates required for improved efficiencies.
- Assist in the design and implementation of processes, documentation and reporting automation initiatives.
- Assisting with webinars and events that facilitate knowledge-sharing.
- Compiling guidance notes for investment teams and nominee directors.
- Supporting the roll out of policy updates and improving templates.
- Monitoring and ensuring timely availability of jurisdiction specific directorship questionnaires.
Experience Requirements
At least 5 years of relevant experience at a law firm, and/or in private equity or asset management, and/or at an international financial institution, particularly working with equity investments and investment stewardship.
Qualification Requirements
Law degree (JD/LLM) or relevant education in corporate law
